Terms of Service

These terms ("Terms") govern your use of the Cobbo web application (the "Service") provided by Cobbo ("Cobbo", "we", "us"), a product operated by [LEGAL ENTITY — TO BE CONFIRMED BEFORE LAUNCH]. By creating an account or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and able to form a binding contract under Australian or New Zealand law.

2. Your account

You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately of any unauthorised use.

3. Acceptable use

• Do not use the Service for unlawful, fraudulent, or misleading purposes.
• Do not send spam, attempt to gain unauthorised access, or interfere with other users.
• Do not reverse-engineer, scrape, or resell the Service without our written consent.

4. Your content

You retain ownership of the data you submit (clients, quotes, invoices, photos, recordings). You grant us a limited, non-exclusive licence to host, transmit, and process that data solely to operate the Service for you.

5. AI features

AI outputs (transcriptions, drafted quotes, drafted emails) are generated by third-party models and may be inaccurate. You are responsible for reviewing and confirming all output before sending or invoicing.

6. Fees and billing

Paid plans are billed in advance via Stripe. Fees are non-refundable except as required by the Australian Consumer Law or NZ Consumer Guarantees Act. You may cancel at any time; cancellation takes effect at the end of the current billing period.

7. Email and SMS sending

When you connect a Gmail, Outlook, or SMTP provider, emails are sent from your account using your credentials. You remain responsible for compliance with the Spam Act 2003 (AU) and Unsolicited Electronic Messages Act 2007 (NZ).

8. Tax invoice compliance

Invoices generated by the Service are designed to meet AU/NZ tax invoice requirements, but you are responsible for confirming they are correct for your circumstances and for remitting GST/tax to the relevant authority.

9. Service availability

We aim for high availability but do not guarantee uninterrupted service. We may modify, suspend, or discontinue features with reasonable notice.

10. Termination

We may suspend or terminate your account for breach of these Terms or for misuse of the Service. You may close your account at any time from Settings.

11. Warranties and consumer law

The Service is provided "as is". To the maximum extent permitted by law, we exclude all implied warranties. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law or the NZ Consumer Guarantees Act that cannot be excluded.

12. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising out of or in connection with the Service is limited to the fees you paid in the 12 months prior to the claim. We are not liable for indirect, incidental, or consequential loss, including lost profit or business interruption.

13. Indemnity

You indemnify us against claims arising from your content, your use of the Service in breach of these Terms, or your violation of applicable law.

14. Governing law

These Terms are governed by the laws of New South Wales, Australia. The courts of New South Wales have non-exclusive jurisdiction.

15. Changes

We may update these Terms; material changes will be notified by email or in-app notice. Continued use after changes constitutes acceptance.
